How to Open a Corporate Bank Account in China: Step by Step

Registration does not guarantee a bank account

China abolished the administrative permit for opening enterprise bank accounts nationwide in 2019, replacing the former permit process with bank handling and regulatory filing. This made banks responsible for opening eligible accounts under their customer-identification and risk controls; it did not create automatic approval for every registered company.

A business license proves the entity exists. The bank still needs to understand who controls it, who may operate the account, where it conducts business, how it expects to receive and pay money, and whether those facts are supported.

Decide which accounts the company needs

Renminbi basic deposit account

An enterprise generally maintains one basic deposit account for its principal daily settlement and cash-receipt or payment needs. It is commonly the core operating account used for tax, payroll and online banking setup.

Other renminbi settlement accounts

General or special-purpose accounts may be opened for permitted business needs, borrowing or designated fund management. Their functions and cash-use rules differ. Ask the bank to map each proposed account to the company's real transactions.

Foreign-currency accounts

A company receiving or paying foreign currency may need one or more foreign-currency accounts under the applicable current-account or capital-account route. Currency, transaction nature and source of funds matter. A basic renminbi account does not by itself solve foreign-exchange collection and payment.

Do not ask only, "Can we open a bank account?" Prepare an account-purpose list: customer receipts, supplier payments, payroll, tax, capital injection, shareholder loan, export receipts, service payments and dividends.

What the bank is trying to verify

The company is genuine and operational

The bank compares the business license, articles, registered address, contact details, tax information and intended activity. It may request a site visit, lease, premises photos, website, contracts, business plan or other operating evidence. Requirements vary; a virtual or shared address that is acceptable for registration may still prompt additional bank questions.

The ownership and control chain is transparent

Banks identify shareholders, actual controllers and beneficial owners under anti-money-laundering and beneficial-owner information rules. A multi-layer overseas structure, nominee arrangement, trust or recent share transfer will usually require a clearer ownership chart and supporting corporate documents.

The legal representative and users are identifiable

The bank verifies the legal representative, account signatories, online-banking operators and authorized contacts. Some branches require an in-person meeting; others may use video or another process for specified steps. Do not book travel until the selected branch confirms who must attend and what originals are required.

Expected transactions make commercial sense

The bank may ask about customers, suppliers, countries, currencies, estimated monthly turnover, payment size and related-party activity. Estimates should be reasonable and consistent with registered capital, headcount, business scope and supporting contracts. They are a KYC profile, not a sales promise.

Corporate account document checklist

Ask the chosen branch for its current list. A foreign-invested company commonly prepares:

  • original or bank-accepted business license materials;
  • articles of association and company-registration records;
  • legal representative's valid identification and contact details;
  • identification of authorized signatories and online-banking users;
  • company chops required by the bank's mandate process;
  • shareholder, actual-controller and beneficial-owner information;
  • overseas shareholder incorporation records and a clear ownership chart;
  • registered-address and operating-premises evidence;
  • tax registration or taxpayer information where requested;
  • board, shareholder or internal authorization where required;
  • business plan, customer or supplier contracts and transaction forecast; and
  • translations, notarization, legalization or certification if the bank requires them for foreign documents.

Names should match exactly across the license, articles, passports, translations and bank forms. Explain legitimate differences such as a translated overseas company name rather than silently using several versions.

Eight-step account-opening process

1. Define the operating model

List expected receipts, payments, currencies, countries, monthly volume, payroll, tax and financing needs. Identify which items are immediate and which are future possibilities.

2. Shortlist suitable banks and branches

Compare practical experience with foreign-invested companies, supported currencies, digital banking, English service, cross-border capabilities, fees and geographic access. Requirements can differ between branches of the same bank.

3. Request a written document list

Give the bank a concise company profile and ownership chart. Confirm originals, translations, attendance, site-review and authorization requirements.

4. Reconcile the corporate file

Check the license, articles, shareholder names, legal representative, registered address, beneficial owners and contact details. Correct corporate records through the proper channel before submitting inconsistent forms.

5. Complete the bank interview and verification

The legal representative or authorized personnel should be able to explain the business, expected transactions and ownership in straightforward terms. Answers should agree with the written profile.

6. Sign mandates and configure controls

Set account signatories, company-chop use, online-banking roles, payment limits, dual approval, security devices and notification contacts. Avoid giving one person unchecked preparation and release authority.

7. Activate and test

Confirm account details, online access, a small lawful receipt or payment where appropriate, payroll or tax linkage, statement delivery and bank-contact procedures.

8. Keep KYC current

Notify the bank of changes to shareholders, beneficial owners, legal representative, address, identification, signatories or business model. Periodic reviews continue after account opening.

How long does opening take?

There is no reliable national promise. A simple structure with available signatories and complete documents can progress faster than a layered foreign ownership chain, remote legal representative, address concern or specialist currency need.

Plan the project in stages:

  • company preparation and document correction;
  • bank appointment and interview;
  • site or enhanced review where requested;
  • bank processing and regulatory filing;
  • online-banking, chops, devices and payment-control activation; and
  • later foreign-currency or special account setup.

Do not make payroll, supplier or capital deadlines depend on an unconfirmed account-opening date.

Fees and ongoing costs

Bank charges are commercial and vary. Ask for a written schedule covering account maintenance, online banking, security devices, domestic transfers, cross-border receipts and payments, foreign-exchange conversion, statements and inactive-account treatment. The cheapest base account may not be the best fit if cross-border handling is central to the business.

Common reasons for delay

  1. The legal representative or required original documents are unavailable.
  2. Shareholder names and ownership percentages differ across corporate records.
  3. The beneficial-owner chain stops at an overseas holding company instead of the natural person or applicable controlling party.
  4. The registered address cannot be verified or does not match the stated operating model.
  5. The business scope is broad, but the company cannot explain its first customers, suppliers or transaction path.
  6. Forecast turnover is disproportionate to capital, employees and contracts.
  7. Foreign documents lack the translation or certification requested by the branch.
  8. Online-banking roles and company-chop authority have not been approved internally.
  9. The company applies to several branches with inconsistent profiles.

After the account opens

Opening is the start of the control relationship. Maintain current KYC, reconcile statements monthly, protect security devices, review user access and preserve support for unusual transactions. A payment can still be held if its documents or purpose do not match the account profile.

Frequently asked questions

Must the legal representative visit China?

It depends on the bank, branch, company profile and step involved. Some require in-person identification, while others may accept an approved remote process in certain cases. Confirm directly before arranging travel.

Can a company use a personal account while waiting?

Personal accounts should not be used as a substitute for corporate operating and cross-border accounts. Doing so creates ownership, tax, accounting, employment and bank-compliance risks.

Can a company open more than one bank account?

Yes, subject to the account rules and bank review, but an enterprise generally has one renminbi basic deposit account. Other renminbi and foreign-currency accounts should have a defined lawful purpose.

Is a physical office mandatory for every account?

There is no single bank answer for every company. Banks need to verify the registered address and actual business. A branch may request a site visit or more operating evidence, particularly where the address or activity raises questions.

Does opening an account mean future cross-border payments are approved?
